Terms of Use

1. About the platform

Novadex B2B is an online platform operated by Mateusz Jedro. It lets verified businesses browse the catalogues of independent sellers, make offers and reservations and chat with those sellers. The platform is provided free of charge. It does not sell goods and does not take payments. Each listed product is sold by the seller who listed it.

2. Eligibility and accounts

• Accounts are for businesses that are registered for VAT. Each application is reviewed before the account is activated, and we may refuse or suspend an account.
• You must give accurate company and contact details and keep them up to date.
• You use the platform for business purposes only.
• You are responsible for your password and for all activity under your account.

3. Contracts with sellers

• Each seller is a separate, independent business. A trade is a separate contract with each seller whose stock is part of your order.
• Each seller issues its own invoice and is responsible for its goods, delivery and warranties.
• The platform is not a party to the contracts between buyers and sellers.

4. Reservations, offers and orders

• A reservation asks a seller to hold stock. The seller confirms or rejects it.
• An offer proposes a price to a seller. The seller accepts, rejects or counter-offers.
• A reservation is confirmed once the seller accepts it. Offers not agreed within 7 days expire.
• Stock is not reserved for you until a reservation is confirmed.

5. Chat

Chat is for trading only. Keep it respectful and do not share other people's personal data beyond what the trade needs.

6. Prohibited use

You must not give false information, use a VAT ID that is not yours, offer illegal goods, misuse chat, try to access other accounts, or copy the catalogue by automated means.

7. Illegal content and reports

If you think a listing, message or other content on the platform is illegal, write to info@novadexb2b.com with the link and the reason. We confirm receipt, review the report and tell you what we decided and why. Reports from authorities are handled through the same address.

8. Suspension and closing accounts

We may suspend or close an account that breaks these terms. You may ask us to close your account at any time.

9. Liability

The platform is provided as it is. We are not liable for the goods, delivery, invoices or payments between buyers and sellers. Nothing in these terms limits liability that cannot be limited by law.

10. Changes to these terms

We may update these terms. We will tell you by email before a material change takes effect. Continuing to use the platform after that means you accept the new terms.

11. Governing law and courts

These terms are governed by the law of the Republic of Poland. Disputes are heard by the courts competent for the operator's seat.
